# Linqto and BCSA: proposal, conditions and termination

**Question.** What did the proposed transaction change, and why is it historical?

**Answer.** The April 2024 business combination was conditional and later terminated. Its valuation, advisers and fees do not establish completed ownership.

## Proposal and termination

- Analysis: On April 9, 2024 Linqto and BCSA announced a definitive business-combination agreement. Linqto would have survived the merger as BCSA's wholly owned subsidiary, with common equity exchanged for newly issued BCSA shares, subject to shareholder approvals and other closing conditions. The approximately $700 million implied enterprise value was a proposed transaction measure, rather than cash proceeds or a completed acquisition valuation. The proposal ended on September 26, 2024 with a $5 million termination-fee undertaking. [s-d4] [s-d65] [s-d22] [s-d50]
- Analysis: Linqto terminated the agreement on September 26, 2024 and agreed to pay BCSA a $5 million termination fee within 30 days. The proposed ownership change did not complete. An agreement to pay does not establish that the fee was actually paid. [s-d65] [s-d50] [s-d4]
- Analysis: The announcement names Le Merle as BCSA chairman, Kerner as CEO, Davis as managing director and Mechigian as CFO. It identifies Lowenstein Sandler as Linqto counsel, Seward & Kissel as BCSA counsel and 5W PR as Linqto's communications contact. These are transaction-date capacities. The employee FAQ names Endoso as current CEO, conflicting with the later restructuring narrative that Sarris resigned as CEO only in January 2025. A bare same-name mention of Davis is not independent identity proof. [s-d50] [s-d22]

## Separate SPAC history

- Analysis: A retained legal-news summary reports Gliksberg's November 22, 2024 Delaware complaint against BCSA, its sponsor, Davis, Le Merle and other directors over more than $8 million of residual SPAC assets. The original complaint was not retained. An official issuer filing independently identifies the proceeding and records it as pending at that filing's date; neither source establishes the merits, a later outcome or Linqto's involvement. Historical team biographies and the schedule entry 'Blockchain Coinvestors' likewise do not establish a single sponsor vehicle or direct Linqto control. [s-d314] [s-d183] [s-d326] [s-d96]
