# Gavin Solomon: shareholder and trustee capacities

**Question.** Which roles belong to Solomon, his companies and their trusts?

**Answer.** Solomon’s personal shareholder demands differ from Conrad and Pancho trustee holdings and his former PrimaryMarkets and Complii offices.

## Personal shareholder demands

- Analysis: Solomon signed his May 21, 2025 meeting demand as Herbert Gavin Solomon, a Linqto shareholder. He asserted that no compliant annual meeting had occurred since January 31, 2020 and demanded a meeting by June 24. The letter acknowledged Linqto’s May 9 announcement of a June 24 meeting but criticized missing particulars. In September he sought a bankruptcy update and shareholder town hall. Counsel Samuel Schwartz replied that shareholders were out of the money unless solvency was established and duties ran to creditors. That reply was counsel’s stated position, rather than a separate court judgment on every duty. [s-d210] [s-d240]

## Companies and trustee holdings

- Analysis: The petition-date financial-affairs statement lists a 7% Linqto holding for Conrad Corporation as trustee of the Conrad Discretionary Trust. A broader current/former-holder schedule separately names Conrad for that trust and H G Solomon Discretionary Trust, and Pancho for Gavsol Superannuation Fund. These are distinct trustee capacities; the list supplies neither complete beneficial ownership nor percentages for every holder. [s-d18] [s-d53]
- Analysis: The November 2021 and March 2023 notices describe Solomon as Conrad’s sole director and secretary, and a shareholder, with interests in the specified trusts. The March 2023 notice also identifies him as a director and secretary, and a shareholder, of Pancho, and records 25,684,852 Complii shares held through Conrad. “A shareholder” does not establish sole ownership; the Complii shareholding is separate from Linqto holdings. ## Australian corporate history and an unresolved match

- Analysis: PrimaryMarkets’ September 2021 announcement identifies Solomon as founder and executive co-chairman. Complii’s interim report confirms acquiring all PrimaryMarkets ordinary shares on November 3, 2021 for consideration valued at A$6,623,900, including shares and options. Solomon ceased as Complii executive director on March 1, 2023 and received payment instead of six months’ notice. [s-d112] [s-d164] [s-d333]
- Analysis: A January 30, 2024 NSW tribunal decision names a Conrad Corporation and Mr Solomon in a Bondi Junction redevelopment appeal. The panel refused leave, dismissed the appeal and lifted the stay of the May 12, 2023 orders. The retained record supplies no company number conclusively linking that Conrad to this Linqto shareholder’s company, so the litigation match remains unconfirmed. [s-d213]
