# Holding and Ameria: equity contributions and a EUR250m loan

**Question.** How did Ameria fund Holding and what was contested in 2023?

**Answer.** Ameria’s reported capital transfers and indirect stake differed from its EUR250m loan to Holding. Arduini described refusing more fresh money while that loan and a separate Prime Assets loan remained unpaid.

## Equity and indirect participation

- Analysis: The retained notarial-account investigation reports contributions into Holding capital of approximately EUR83m, EUR147m and EUR127m in July 2018, August 2019 and August 2020. Other accounts describe indirect participation through the Supra structure and a fiduciary holder. The legal relationship changed when Ameria was entered as Supraholding GmbH shareholder in December 2023 and KG limited partner in January 2024. Those dates should not erase the earlier reported economic interest, or be treated as proof that Ameria owned the nominee itself. [s-d65] [s-d12] [s-d14]
- Attributed: A retained corporate-register reproduction records Ameria Invest AG becoming a limited partner of Supraholding GmbH & Co KG on 4 January 2024, while ARP Seventeen GmbH ceased to be a limited partner. [s-d14]
  - Qualification: The retained registry reproduction supports this specific historical statement; it does not establish the participant’s position beyond the stated scope and period.

## Loan repayment negotiations

- Analysis: Arduini’s reported testimony states Holding received an Ameria loan of EUR250m in 2022. By May 2023 the family would not supply fresh funds before repayment of it and the separate EUR50m Prime Assets loan. The Holding loan was extended three times, finally until 31 May 2024. Arduini says Benko described an Elbtower funding need and near-term repayment; these are representations reported by the lender’s family, not evidence tracing the proceeds or establishing repayment.
