# SIGNA Holding GmbH: the registered company

- Also known as: Immofina Holding GmbH
- Jurisdiction: AT (AT)
- Company register: 191343m (Austria)
- VAT number: ATU50370209 (Austria)

**Question.** What is the legal company behind the Signa holding-company record?

**Answer.** SIGNA Holding GmbH is FN 191343m, an Innsbruck company registered in 2000. Its registered directors, direct participations and insolvency administration must be read separately from wider Signa group claims.

## Legal identity and representation

- Analysis: The official register records the company at Maria-Theresien-Straße 31, Innsbruck, with EUR74,568,072.28 registered capital and a business of holding interests in other companies. Marcus Mühlberger and Christoph Stadlhuber are each recorded as authorised to represent it from 4 April 2013. Where several directors are appointed, representation is generally joint, or by one director together with a procurist; the general meeting may permit sole representation. A prior name-history entry identifies Immofina Holding, so the company’s registration date and the later development of the Signa business should not be conflated. [s-d2] [s-d30]

## Direct holdings are not group-wide control

- Analysis: The retained ownership reproduction names wholly owned companies spanning property, investment and retail administration, including Funds Holding, Retail Holding, Innovations Holding, Mitarbeiterbeteiligungs and Prime 2019 Zwei AT. It separately gives 10.1% in Prime Beteiligung and Development Selection Beteiligung, 5.1% in Forum Salzburg Immobilien and 3.16% in Retail GmbH, alongside partnership interests without stated percentages. Those direct interests differ from the broad property and retail platforms described in the insolvency report, which did not finally determine the extent of influence. [s-d30] [s-d7]

## Administration and auditor inquiry

- Analysis: Stapf’s initial restructuring appointment and Neuhauser’s deputy role date to 29 November 2023; the January 2024 order appointed them as insolvency administrator and deputy after self-administration ended. The official register groups both within insolvency administration, but the court orders specify their different capacities. Separately, special administrators were appointed in 2024 to examine and pursue claims against annual auditor BDO Assurance, including avoidance of audit-fee payments. These appointments are procedural steps, not judgments establishing auditor liability. A retained administrator-report account in May 2026 subsequently described a EUR1.4m BDO settlement; a settlement amount is not a judgment establishing every alleged breach. - Attributed: By order of 25 January 2024, at Holding’s own request, Vienna Commercial Court withdrew debtor self-administration and continued restructuring without it. Christof Stapf became insolvency administrator and Michael Neuhauser his deputy. [s-d61]
  - Qualification: The retained reported account supports this specific historical statement; it does not establish the participant’s position beyond the stated scope and period.
- Attributed: By May 2026 Stapf reported EUR 8.7 million recovered and roughly EUR 160 million claims still pending, including EUR 9.2 million concerning TPA, about EUR 5 million against Alfred Gusenbauer and his company, EUR 396,000 against Karl Samstag and A&I, about EUR 74 million against Laura Privatstiftung, and EUR 11.7 million against Herkules Holding. BDO settled for EUR 1.4 million; the EUR 46.4 million Ingbe dispute ended in a confidential judicial settlement. [s-d174]
  - Qualification: Claim sums and recoveries are procedural snapshots. Confidential settlements do not disclose merits or all paid sums, and claims pending against Laura were interrupted by its insolvency.
  - Response: Herkules Holding disputed the EUR 11.7 million claim; terms of the Ingbe settlement were confidential.
  - Outcome: BDO reached a EUR 1.4 million settlement; Ingbe’s EUR 46.4 million dispute ended in a confidential settlement. Laura claims were lodged in its insolvency and Herkules contested its claim.
