The English text prevails over any translation. ## About these terms These terms of use ("**Terms**") apply to your access to and use of this website, its pages, feeds, data files and machine-readable catalogue, and the public dossiers published on it (together, the "**Site**"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site. Engagements for paid services, such as due diligence, investigations and screening, are governed by our separate [client terms](https://osint.v3rta.com/client-terms/) and the engagement letter or statement of work for each matter, not by these Terms. Our [privacy notice](https://osint.v3rta.com/privacy/) explains how we handle personal data, and our [acceptable use policy](https://osint.v3rta.com/acceptable-use/) explains the work we do and do not take on. ## Who we are In these Terms, "**DossierTwist**", "**we**", "**us**" and "**our**" mean the operator of the Site together with its affiliated entities, partners, successors and assigns, each of which may rely on and enforce these Terms. "Affiliated entities" means any entity that directly or indirectly controls, is controlled by or is under common control with the operator. "**You**" means the person using the Site and, if you use it on behalf of an organisation, that organisation. You can reach us at {{emails.briefs}} for general enquiries, {{emails.corrections}} for corrections and {{emails.privacy}} for privacy matters. ## The Site and our dossiers The Site presents our firm and our services, and publishes public dossiers: sourced investigations into corporate scandals and the companies and people involved in them in their professional or public roles. Each dossier states the date on which it describes the record and grades each claim by how well it is established. We may add, change, update or withdraw any part of the Site, including any dossier, at any time and without notice, and we do not promise that the Site or any content will always be available. ## Licence for our dossiers Unless a page says otherwise, our public dossiers and their data downloads are licensed under CC BY 4.0. You may read, copy, share and adapt them in any medium or format, including for commercial purposes, provided that you: - credit "DossierTwist" as the source; - link to the dossier you rely on; - indicate if you changed the material; and - do not suggest that we endorse you or your use. The licence does not cover our name, wordmark, logos, page design, software or any third-party material identified as such, including quoted documents, images and records that belong to others. You are responsible for obtaining any permission needed to reuse third-party material. ## Our other content and marks Apart from the licensed dossiers, the Site and its content, including text, design, graphics, software, page layout and the selection and arrangement of material, are owned by us or our licensors and are protected by copyright, trade mark and other laws. You may view and print pages for your own reference. You may not otherwise copy, reproduce, republish, frame or distribute them without our prior written permission. Nothing on the Site grants a licence to use our name, wordmark or logos. ## How you may use the Site You may use the Site only for lawful purposes and in accordance with these Terms and our [acceptable use policy](https://osint.v3rta.com/acceptable-use/). You must not: - use the Site in any way that breaches applicable law, including laws on data protection, defamation, harassment, sanctions and export control; - use information from the Site to stalk, harass, threaten, intimidate or discriminate unlawfully against any person, or to identify or locate a private individual for personal reasons; - attempt to gain unauthorised access to the Site, its servers, the administration area, review links or any connected system or data, or circumvent any access control, rate limit or security measure; - introduce malware or any material that is harmful or technologically damaging, or carry out a denial-of-service or similar attack; - probe, scan or test the vulnerability of the Site except as allowed under "Security research" below; - submit forms automatically, in bulk or with false information, or use our forms to send unsolicited messages; - misrepresent your identity or affiliation, or impersonate us or anyone else. ## Automated access We publish feeds, a search index, a data catalogue and `llms.txt` so that people and machines can find and reuse our dossiers. You may access these and our public pages by automated means, including search engines, archives and AI systems, provided that you respect `robots.txt`, keep your request rate reasonable, identify your crawler honestly, and comply with the dossier licence when you reuse the content. We may block or limit any automated access that places an undue load on the Site or disregards these conditions. ## Security research We welcome reports of security vulnerabilities. Please follow the instructions in our `security.txt` file at `/.well-known/security.txt`, report the issue to us privately, give us a reasonable time to fix it before any disclosure, and avoid accessing, changing or deleting data that is not yours, degrading the service or affecting other users. Research carried out in good faith and in line with this section will not be treated as a breach of these Terms by us. ## Nature of our content Our dossiers and other content are provided for general information and public-interest reporting. They describe what the records available to us showed on the date stated, and they may be incomplete or out of date. They are not legal, financial, investment, tax, credit or other professional advice, a credit rating, a consumer report or a recommendation to enter into, or refrain from, any transaction or relationship. You should not rely on them as a substitute for advice or for research commissioned for your specific purpose. A connection between two people or companies shown in a dossier does not mean that either has done anything wrong, and an allegation about one is never attributed to another. Claims marked "attributed", "unresolved" or "refuted" are not our findings. ## How our research is produced Our research is produced with a proprietary AI-assisted research system that helps us retrieve, analyse, evaluate and synthesise records. Analysts direct each stage, check findings against their sources and approve every dossier before publication. Despite these controls, automated and human research can both contain errors, and you should check the cited records before relying on any finding. ## Accuracy, corrections and replies We work to make our dossiers accurate and fair. Where a finding is adverse, we invite the people and companies concerned to respond and show their response next to it. If you believe a dossier contains an error, write to {{emails.corrections}} with the page, the passage and the evidence. We review every request, publish corrections that matter to readers on the dossier concerned, with their date, and tell you the outcome. Requests to remove lawful, accurate public-interest reporting are considered on their merits but may be declined. ## Links and third-party material The Site links to records, archives and websites operated by others, and quotes or reproduces third-party material as evidence. We do not control and are not responsible for third-party websites or their content, availability or privacy practices, and a link does not mean that we endorse them. Archived copies are provided to preserve the record as we read it and may differ from the current version of the source. ## Disclaimers To the fullest extent permitted by law, the Site and all content are provided "as is" and "as available", without any representation, warranty, condition or guarantee of any kind, express or implied, including as to accuracy, completeness, timeliness, fitness for a particular purpose, non-infringement or uninterrupted, secure or error-free operation. We do not warrant that the Site is free of viruses or other harmful components, and you are responsible for protecting your own systems. ## Limitation of liability To the fullest extent permitted by law: - we are not liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss or damage arising out of or in connection with your use of, or inability to use, the Site or your reliance on any content, including any indirect, consequential, special or punitive loss, and any loss of profit, revenue, business, opportunity, goodwill, data or anticipated savings; and - if, despite the above, we are found liable to you, our total aggregate liability arising out of or in connection with the Site is limited to one thousand Hong Kong dollars (HK$1,000). Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. ## Indemnity You agree to indemnify us and our officers, employees, analysts and agents against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of your breach of these Terms or of applicable law in connection with your use of the Site, or your reuse of our content in breach of the dossier licence. ## Suspension We may suspend or restrict your access to the Site, or any part of it, without notice if we reasonably believe that you have breached these Terms, or to protect the Site, our sources, the people and companies we write about or other users. ## Changes to these Terms We may change these Terms from time to time. The version published on this page, with its date, applies to your use of the Site from that date. If you continue to use the Site after a change, you accept the revised Terms. ## General - **Severability.** If any provision of these Terms is found invalid or unenforceable, it is to be read down to the minimum extent necessary, and the other provisions continue in full force. - **No waiver.** A failure or delay in enforcing any right is not a waiver of it. - **Assignment.** We may transfer our rights and obligations under these Terms to any affiliated entity or successor. You may not transfer yours without our written consent. - **Third parties.** Our affiliated entities and partners may enforce these Terms. Otherwise, no person other than you and us has any right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any of them. - **Entire terms.** These Terms, together with the policies they refer to, are the entire agreement between you and us about your use of the Site. ## Language These Terms are written in English. We may provide translations for convenience. If there is any conflict or inconsistency between the English text and a translation, the English text prevails. ## Governing law and jurisdiction These Terms, and any dispute or claim (including any non-contractual dispute or claim) arising out of or in connection with them, their subject matter or their formation, or your use of the Site, are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China ("**Hong Kong**"). The courts of Hong Kong have exclusive jurisdiction to settle any such dispute or claim, and you and we irrevocably submit to their jurisdiction. This does not prevent us from seeking urgent injunctive or other interim relief in any court of competent jurisdiction to protect our rights, our systems or the people and companies we write about.
