1The named lender

analysisThe lending party named in the financing and settlement records is Sandton Capital Solutions Master Fund VI, LP. Its October 9, 2026 GLEIF record identifies a Cayman private fund created March 28, 2024, registration 2102284 and LEI 254900TLHT6DPW6S5E29. The LEI belongs to this fund, rather than Sandton Capital Partners. Care-of addresses at Intertrust and Sandton Capital Partners do not independently prove management or ownership; the retained API response links to a separate fund-manager endpoint without retaining its content. 1 2

analysisThe earlier financing contemplated a $60 million commitment, with $10 million initially available. The September 2025 settlement introduced borrowing up to $25 million and different collateral treatment; the later confirmed-plan definition uses that ceiling. Its printed September 25, 2024 agreement year conflicts with the 2025 financing chronology and is retained as an inconsistency, rather than converted into a genuine 2024 DIP transaction. Detailed borrower, collateral and repayment terms have their own relationship page. 3 4

2Distinct adviser and investment vehicles

analysisSandton Capital Partners' adviser filing identifies a separate registered adviser. Offshore Fund VI's Form D and the Co-Invest disclosure concern different legal entities. Co-Invest is reported as Cayman-organized with private-fund identification number 805-4762706389. Missing pages 85–93 of the retained adviser extraction prevent equating Co-Invest, the series general partner and the separately named DIP lender. A literal SEC name-search omission is not proof that a fund does not exist. 1 2 3 4 5

attributedSandton Capital Partners' April 17, 2026 Form ADV identifies a registered investment adviser, CRD 160364 and SEC 801-73961, at 16 West 46th Street in New York; this identifies the adviser separately from the DIP lending fund. 1 2

qualification
The adviser and offshore issuer are distinct from the master DIP lender; a shared address does not make them interchangeable.

unresolvedThe retained SEC name-search results for Sandton Capital Solutions show three onshore or offshore fund entries but no entry under the exact Master Fund VI lender name; the search does not establish that no filing exists. 3

qualification
Literal name-search nonappearance is a search limitation, not proof of nonexistence or wrongdoing.

analysisDimitri Korvyakov signed Offshore Fund VI's March 25, 2024 Form D as CFO of its investment manager. That filing capacity does not assign him ownership of the issuer or lending fund, and the offshore offering amount is not the size of Linqto's DIP facility. 5 3
