1Control and company roles

analysisRaja became an MFS director on 5 July 2017. The PSC register records at least 75% of shares and voting rights and the right to appoint or remove directors; a 2022 shareholder return gives the more precise 95% shareholding. The 2017 allotment and control notifications occurred around the same date, but the retained filing descriptions alone do not establish whether the change was achieved solely by new shares or by a purchase. 1 2 3 4 5 6 7

qualification
The retained 2021 statement records the same shareholdings. The April 2026 proposals also list 95% and 5% at appointment; later no-update filings do not independently expose all underlying rights. The filing and effective dates are distinguished. The listing alone does not establish an adjudicated filing offence. Coincident appointment and allotment dates do not establish whether the change of control involved a share purchase, an allotment or both. This is a historical shareholder snapshot and is not the ownership position throughout the later administration.

analysisRaja also controls PSR Equities, Interlend Holdings, Zircon Group and Earth (EHL) Holdings through separately recorded interests. Zircon Group controls Amber and Zircon Bridging, while Earth controls 3CG Holdings and, through it, Credit Capital Corporation. Trustee shareholding in other funding vehicles means the wider network should not be drawn as direct MFS subsidiaries. 8 9 10 11 12 13 14

qualification
Interlend’s registered controller is evidenced separately from its lending role; its £19.9 million Galaktikos exposure is supplied by the receiver report.

2Proceedings and substantive responses

analysisMFS administrators seek £1.3 billion from Raja for alleged breaches of duties and obtained interim asset restraints. Raja says property held by associated parties served the ultimate interests of the business, denies knowingly authorising false creditor reports, and denies destroying records or receiving cash envelopes. He says payments to his wife reflected her director’s loan account, marketing salary and dividends. These are his defenses, not judicial determinations. 1 2 3 4 5 6 7

qualification
These are claims and protective freezing orders, not a final damages judgment. At the April proposals’ date, the statement of claim was still being prepared; orders permit limited living/legal expenses with consent. This is a pleaded claim, not a final liability finding. The report gives the position at its own reporting date; no later defence outcome is inferred. This is an attributed account in the retained reporting, with the stated procedural and source limits; it is not a determination of the underlying contested allegation.
response
Raja denies wrongdoing, disputes the £1.3 billion calculation and says at least £950 million in properties held through related parties should be credited to MFS Group. Barclays rejects his attribution of the collapse to the bank and says it acted in accordance with its legal and regulatory obligations. Raja has denied fraud and dishonesty in the retained media accounts and, in a report dated 30 September 2026, attributed the collapse to Barclays’s November 2025 account freeze. Barclays said it acted in accordance with legal and regulatory obligations and alleged the fraud was caused by MFS and Raja. Raja’s account is his contested defence.
outcome
The court granted a defence extension to 25 September 2026 and the substantive claim remained ongoing at the report date.

analysisRaja further contends that Barclays’ freezing of accounts caused the collapse. Reported allegations concerning £408 million received by him and his wife and wider personal spending remain disputed. The retained record does not supply a final judgment resolving those allegations. Barclays said it acted in accordance with its obligations and that decisions on the return of funds were for the courts. 8 3 4 5

qualification
The report describes allegations by litigants, not findings of liability against Raja or his wife. This is an attributed account in the retained reporting, with the stated procedural and source limits; it is not a determination of the underlying contested allegation.
response
Raja denies the allegations. Barclays said it acted throughout in accordance with legal and regulatory obligations and attributed the alleged fraud to MFS and Raja; Raja contests the administrators’ attribution and arithmetic. Raja denied misappropriation and disputed the £1.3bn arithmetic, arguing that about £950 m of property value was held for the MFS group; payments to his wife were described as director-loan repayment, marketing salary through 2023 or dividends. Barclays said it acted in accordance with legal and regulatory obligations and alleged the fraud was caused by MFS and Raja. Raja’s account is his contested defence.

analysisHis earlier Redhill dispute ended in settlement before the trial of other defendants. The resulting judgment made observations about MFS payments and Raja’s correspondence, with the important limit that the settled defendants did not participate in the trial. That episode is distinct from the 2026 administration recovery claim. 9

qualification
Settlement terms were unknown to the court, which said the settlements had no bearing on the live claims before it. The court expressly acknowledged making necessary state-of-mind findings concerning a person absent from the trial. MFS and Raja had settled; this was not a fresh damages judgment against them. Its general description of Raja as shareholder and director does not displace the registry’s 5 July 2017 director-appointment date.
response
MFS and Raja had settled before trial on terms unknown to the court.
outcome
Claims against MFS and Raja were settled, with terms unknown to the court. MFS and Raja’s own disputes had already settled; the live judgment concerned other defendants.
