SIGNA Holding: ownership, collapse and proceedings

Familie Benko Privatstiftung: assets and governance

The Austrian foundation held direct company interests and reported very large nominal liabilities. Much of its reported debt concerned options, while its assets were chiefly intercompany receivables; governance and effective-control allegations are distinct.

1Identity, purpose and board

analysisRegistered as FN 209416s on 27 June 2001, the foundation had stated assets of ATS1m and a purpose of supporting beneficiaries. It was formerly Rene Benko Privatstiftung, renamed in September 2013. The official retained page lists Karin Fuhrmann on its board from 2011, Marcus Mühlberger from 2014 and Roland Kometer from December 2025, with joint representation by two board members. René and Ingeborg Benko are described as its founders in retained historical reporting. 1 2 3 4

2The nominal debt figure and its limits

analysisThe March 2024 filing reported EUR854.19m liabilities and EUR21.54m assets, excluding subordinated claims. An originating insolvency announcement explains that approximately EUR700m related to insolvency-triggered options, which the board said might ultimately be substantially lower. Two arbitration matters with roughly EUR1bn in disputed value were additional. Nearly all assets were intercompany receivables, the Holding interests were valued at zero, and the board estimated liquidation value around EUR2m; it reported no real estate. The reported face value therefore cannot serve as a simple admitted-debt or cash-recovery figure. 1 2 3

3Participations and economic-owner classification

analysisThe March 2024 insolvency application listed wholly owned ARP Seventeen, Familie Benko 2017 Zwei and Familie Benko 2018 Fünf; 32.3645% of Supraholding GmbH; 25% of SIGNA RFR International Projektbeteiligungs; and 10.1% of Holding. Through ENTRA’s partnership structure and ARP as general partner, it also had an indirect connection to Supraholding. A retained insolvency account names Ingeborg and René Benko, Fuhrmann, Mitterrutzner and Mühlberger as economic owners. That classification does not establish that each individual personally owned or controlled all foundation assets. The RFR company’s historical name identifies the company in that application; its later A&M International name does not make this a new legal entity, and this filing alone does not establish the foundation’s current stake. 1 2 3 4

attributedHistorical register summaries list A&M SP Invest, Familie Benko Privatstiftung and SIGNA Holding as shareholders of SIGNA RFR International Projektbeteiligungs GmbH in December 2021. Marcus Mühlberger and Christoph Stadlhuber became managers in December 2023; Stadlhuber left on 23 May 2025 when the company was renamed A&M International Projektbeteiligungs. 4

qualification
This business-information record establishes the described actors, period and scope, not an independently confirmed later status.

analysisA corporate-role profile dated from 14 August 2026 lists Markus Mitterrutzner as Masterpiece Bike & Sport’s managing director and sole shareholder and liquidator of Masterpiece, Communication & Events. Separate register history names him and Marcus Mühlberger as departing managers of Masterpiece Beteiligungs in February 2025, with the same Communication & Events company as shareholder. That matching corporate chain supports identifying the foundation-associated person more precisely than a name alone. The profile cautions that its identification method is not unambiguous; its snapshot date does not establish the start of each mandate. 5 6

4Control allegations and the defense

analysisFinancial investigators alleged Benko exercised sole practical control over the family foundation and Ingbe Stiftung and argued the assets and income should be attributed to him for tax purposes. Wess rejected this as speculation: founders may put forward proposals, but the boards independently examine and decide on transactions. The reported EUR500,000 discussion is a penalty threshold, not an established tax-loss amount. These witnesses do not establish a final merits decision on the alleged sham structure. 1 2 3 4

attributedThe reported financial-investigation account attributed to the Vaduz court a conclusion that Benko could access Ingbe Stiftung’s assets through his mother. It identified Ingeborg Benko as Ingbe’s formal principal founder and beneficiary. 1 2 3 4

qualification
The asserted Vaduz finding is mediated through an investigation and report; the actual judgment, scope and finality are not supplied here.
response
Norbert Wess disputes the broader de facto-control and sham-construction allegations.
outcome
A separate retained June 2026 account reports lifting of an interim Ingbe freeze, with further appeal possible. The earlier mediated access conclusion and that later interim appeal must not be assumed to be the same unretained judgment.
